TERMS OF SERVICE

Bridge Capital LLC — Effective Date: October 6, 2026

These Terms of Service ("Terms") govern access to and use of the Bridge Capital platform, including the Bridge Capital website, dashboard, and related services (collectively, the "Service"), provided by Bridge Capital LLC, a California limited liability company with a registered address of 1401 21st Street, Suite R, Sacramento, CA 95811 ("Company," "we," "us"). By creating an account, subscribing to a module or other service, or otherwise accessing or using the Service, you ("Client," "you") agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

1. Who Can Use the Service

The Service is available to nonprofit organizations, for-profit businesses, and individuals seeking to identify, apply for, manage, or report on grant funding, loan funding, or both, and to organizations and individuals seeking business or nonprofit formation services. The funding types available to you depend on the subscription you choose and on each funding program's own eligibility rules. You must have the legal capacity to form a binding contract to use the Service, and you represent that all information you provide during signup is accurate, current, and complete.

2. Description of the Service

Bridge Capital offers a modular platform, where each module builds on the one before it, along with separate loan and formation services:

Module 1 (Grants): Identifying grants you are likely to qualify for and assisting with drafting applications.

Module 2 (Compliance): Tracking post-award deadlines and assisting with compliance reporting.

Module 3 (Impact): Assisting with outcomes tracking and impact narratives for funders.

Module 4 (Portfolio Command Center): A dashboard for managing multiple grants across funding sources.

Module 5 (Audit Readiness): Year-round support keeping records ready for a federal Single Audit, priced individually by quote.

SEFA-Only: A standalone Schedule of Expenditures of Federal Awards preparation service, sold separately from the modules above and not a Service subscription — it includes no platform access.

Loan Matching and Loan Application Packages: Identifying loan programs you may qualify for and assisting with drafting loan application packages, sold as separate monthly subscriptions.

Formation Services: Assisting with forming a nonprofit, religious organization, for-profit business, or sole proprietorship, for a one-time service fee. Government filing fees are separate.

Exact features, pricing, and free application allowances for each module and service are described on our website or at checkout and may be updated from time to time as described in Section 18.

3. No Guarantee of Awards, Approvals, or Outcomes

THE SERVICE HELPS YOU FIND AND PREPARE FOR GRANT AND LOAN OPPORTUNITIES AND FORMATION FILINGS, BUT WE DO NOT GUARANTEE THAT YOU WILL BE AWARDED ANY GRANT, APPROVED FOR ANY LOAN, THAT ANY APPLICATION OR FILING WILL BE ACCEPTED OR APPROVED, THAT ANY ENTITY WILL RECEIVE TAX-EXEMPT STATUS, OR THAT YOU WILL PASS ANY AUDIT OR COMPLIANCE REVIEW. Grant awards are made solely at the discretion of the relevant funder, loan approvals solely at the discretion of the relevant lender, formation and tax-exemption decisions solely at the discretion of the relevant government agency, and audit outcomes solely at the discretion of the relevant auditor or agency. Nothing in the Service, in any communication from us, or in any materials we help prepare constitutes a promise, guarantee, or warranty of any funding, approval, or other outcome.

4. Your Responsibility for Submission and Accuracy

Bridge Capital drafts, organizes, and assists — you review, approve, and submit. We do not submit applications, reports, or any other materials to any funder, lender, government agency, or auditor on your behalf unless we separately and explicitly agree to do so in writing for a specific submission. You are solely responsible for reviewing all materials we help prepare for accuracy before submission, and for the accuracy, legality, and completeness of all information you provide us or enter into the Service.

5. Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity occurring under your account. You must notify us promptly at admin@bridgecapital.llc if you suspect any unauthorized access or security breach related to your account.

6. Subscriptions, Billing, and Auto-Renewal

Paid modules and loan application packages are billed on a subscription basis (monthly or annually, depending on the plan you select) through our third-party payment processor, Stripe. Formation Services are billed as a one-time fee.

Automatic Renewal: By subscribing, you authorize us to charge your payment method on file on a recurring basis (monthly or annually) until you cancel. Subscriptions renew automatically at the then-current standard price. You may cancel your subscription at any time through your account dashboard or by emailing admin@bridgecapital.llc, and cancellation will take effect at the end of your current billing cycle, except as described in Section 12.

Refund Policy: Fees already charged are generally non-refundable, including for partial billing periods, except: (a) where required by applicable law, and (b) for Module 1 and loan application package subscriptions, where you may request a full refund of the most recent charge if you have not used the Service since that billing period began. A refund immediately terminates your subscription and access.

Custom Quotes: Module 5 (Audit Readiness) and SEFA-Only are priced individually by quote and billed separately as agreed in writing at the time of purchase.

7. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or to submit false, fraudulent, or materially misleading information in any application, filing, or report;

Reverse engineer, decompile, or attempt to derive the source code of the Service;

Scrape, data-mine, or use automated means to access the Service beyond normal, authorized use;

Resell, sublicense, or provide commercial access to the Service to any third party outside your own organization;

Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure;

Use the Service to build a competing product or service.

8. Your Content and Data

You retain ownership of the organizational, financial, and programmatic information and materials you submit to the Service ("Client Content"). You grant us a limited, worldwide license to use, store, and process Client Content solely to provide, maintain, and improve the Service for you. We may use aggregated or de-identified data (which does not identify you or any individual) to improve the Service, develop new features, and conduct internal analytics. Our Privacy Policy governs how we handle personal information.

9. Intellectual Property and Feedback

The Service, including its software, visual design, module structure, and all associated trademarks (including "Bridge Capital"), is owned exclusively by Company and protected by intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business, organizational, or personal purposes. If you provide us with any feedback, suggestions, or feature requests regarding the Service, you grant us an unrestricted, perpetual, royalty-free license to use and incorporate that feedback without any obligation or compensation to you.

10. Confidentiality

Each party agrees to use reasonable care to protect non-public information disclosed by the other party in connection with the Service and to use such information only as strictly necessary to perform its obligations or exercise its rights under these Terms.

11. Third-Party Services

The Service integrates with or relies upon third-party infrastructure providers, including Stripe (payment processing), Supabase (data infrastructure), and Resend (email delivery). Your use of the Service may also be subject to the terms and privacy policies of those third-party providers.

12. Termination

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing cycle, except that: (a) a refund under Section 6 ends access immediately, and (b) after you cancel a loan application package subscription, any unused packages you have already paid for remain available until they are consumed. We may suspend or terminate your access immediately if you violate these Terms, fail to pay applicable fees, or if we discontinue the Service, with notice where reasonably practicable. Upon termination, your right to access the Service ceases, though we will provide a reasonable opportunity to export your Client Content where technically feasible.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR ACCURATE. THE SERVICE DOES NOT PROVIDE LEGAL, TAX, ACCOUNTING, OR FINANCIAL ADVICE, AND NOTHING IN THE SERVICE OR OUR COMMUNICATIONS SHOULD BE CONSTRUED OR RELIED UPON AS SUCH.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE. COMPANY'S AGGREGATE TOTAL LIABILITY FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

15. Indemnification

You agree to defend, indemnify, and hold harmless Company, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your violation of these Terms; (b) your misuse of the Service; (c) the accuracy, legality, or completeness of information or Client Content you submit through the Service; or (d) your violation of any rights of a third party.

16. Electronic Communications and Notices

By using the Service, you consent to receive all communications, agreements, and notices from us electronically, including via email to the address associated with your account or via in-app notifications. Notices sent by email will be deemed received upon transmission. Legal notices to Company must be sent in writing to admin@bridgecapital.llc.

17. Dispute Resolution and Governing Law

Any dispute arising out of or relating to these Terms or the Service will first be addressed through good-faith negotiation between the designated representatives of both parties. If the dispute is not resolved within thirty (30) days, it shall be resolved exclusively in the state or federal courts located in Sacramento County, California, and both parties consent to the personal jurisdiction and venue of those courts. These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles.

18. Changes to These Terms

We may modify these Terms from time to time. If we make material changes, we will provide reasonable notice prior to the changes taking effect, such as by sending an email to your account address or displaying a notice within the dashboard. Your continued use of the Service after the effective date of the modified Terms constitutes your binding acceptance of the updates.

19. General Provisions

These Terms, together with our Privacy Policy and any applicable order form, invoice, or quote you accept, constitute the entire agreement between you and Company regarding the Service. If any provision of these Terms is held to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it valid, and the remaining provisions will remain in full force and effect. We may assign these Terms freely in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
